These Terms & Conditions (the “Agreement”) govern your (“Client,” “you,” or “your”) use of and access to the services provided by Happyranks (“Company,” “we,” “us,” or “our”), including but not limited to Search Engine Optimization (SEO) and any other services we offer (collectively, the “Services”). By purchasing or using any of our Services, you agree to be bound by these Terms & Conditions.
1. Scope of Services
1.1 Website Design, Development & Maintenance
We will design and develop your website according to the agreed project scope and specifications.
We will provide maintenance services, including updates and security patches, as detailed in your selected plan.
You are responsible for providing all necessary content, if any, (text, images, logos, etc.) and ensuring you have the legal right to use any materials you provide.
1.2 Search Engine Optimization (SEO)
Our SEO Services focus on optimizing your website to improve its visibility on search engines.
We do not guarantee specific search engine rankings or timeframes for ranking improvements, as algorithms and competitor activity can affect results.
You agree to provide necessary website credentials, access, and information needed to perform SEO tasks.
2. Client Responsibilities
2.1 Timely Provision of Materials
You agree to promptly provide all necessary information, materials, and approvals needed for us to perform the Services. Delays in providing these may affect project timelines and outcomes.
2.2 Compliance with Laws and Regulations
You represent and warrant that all content and data you provide, including email lists, are obtained and used in compliance with applicable laws, including but not limited to intellectual property, privacy, and spam regulations.
2.3 Access and Credentials
You agree to grant us the necessary access to your website(s), social media accounts, advertising accounts, and any relevant platforms to allow us to perform the Services.
3. Payment and Fees
3.1 Service Fees
All fees for the SEO services are detailed in the pricing page. The fees are fixed and cannot be discounted unless otherwise there is a promotion.
3.2 Payment Terms
Upfront payment according to the your plan or invoice. We reserve the right to suspend Services if payments are not made in a timely manner.
3.3 Refund Policy
Unless otherwise stated, all payments are non-refundable once work has commenced. Any exceptions or refunds are at our sole discretion.
3.4 Late Payments
Late payments may incur additional charges or interest, in accordance with applicable laws.
4. Intellectual Property
4.1 Ownership of Deliverables
Our process & methods are confidential except the work we create for you. Written content, audit findings, SEO strategies and other non-confidential documents become your property upon delivery of services. The rest remains the sole property of Happyranks unless otherwise stated.
We reserve the right to use non-confidential work (e.g., SEO results) in our portfolio for marketing purposes, unless you specifically request otherwise in writing.
4.2 Third-Party Materials
Any third-party materials (e.g., methods, proprietary tools etc.,) incorporated into your project are subject to their respective license terms. You are responsible for any licensing fees unless otherwise agreed.
5. Confidentiality
We agree to maintain the confidentiality of any proprietary or confidential information you provide to us in the course of performing the Services. You agree to do the same with any of our confidential information, including our pricing structures and proprietary methodologies.
6. Disclaimer of Warranties
6.1 No Guarantee of Results
We will make commercially reasonable efforts to perform the Services. However, we do not guarantee any specific outcomes, including search engine rankings.
6.2 As-Is Basis
All Services are provided on an “as-is” and “as-available” basis. We disclaim any and all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the fullest extent permitted by law, neither we nor our affiliates, officers, employees, or agents shall be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to this Agreement. Our total liability under this Agreement shall not exceed the fees you have paid for the Services in the preceding three (3) months.
8. Indemnification
You agree to indemnify, defend, and hold harmless Happyranks, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your breach of any term in this Agreement.
Your violation of any law or regulation, including spam and privacy laws.
Your infringement or misappropriation of any intellectual property rights or violation of third-party rights.
9. Termination
9.1 Termination by Either Party
Either party may terminate this Agreement for convenience by providing written notice 30 days in advance.
9.2 Effect of Termination
Upon termination, all outstanding fees and expenses shall be immediately due and payable. We may also cease providing any Services. Any provisions intended by their nature to survive termination (e.g., Confidentiality, Limitation of Liability, Indemnification) shall remain in effect.
10. Dispute Resolution
10.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of courts in Coimbatore, TN, India, without regard to conflict of law principles.
10.2 Arbitration
Any dispute arising from or related to this Agreement shall be resolved through binding arbitration in Coimbatore, TN, India, under the rules of law, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.
11. Modifications
We reserve the right to modify these Terms & Conditions at any time. Any changes will be posted on our website with an updated “Last updated” date. Your continued use of our Services after the posting of changes constitutes your acceptance of such changes.
12. Entire Agreement
These Terms & Conditions, together with any written proposal or service agreement, constitute the entire agreement between you and Happyranks regarding the Services and supersede any prior or contemporaneous understandings and agreements.
